Affiliate Program Terms & Conditions

1. Introduction

Welcome to the LAKOUKLA X ROLLY Affiliate Program. By applying for and participating in our Affiliate Program, you (the “Affiliate”) agree to the following Terms & Conditions. This document outlines the rights and obligations of both parties and forms a legally binding agreement between the Affiliate and LAKOUKLA X ROLLY.

These Terms & Conditions are governed by UK law.

2. Purpose of the Affiliate Program

The primary purpose of the Affiliate Program is to reward individuals who promote and sell LAKOUKLA X ROLLY products through their unique affiliate links or discount codes. The Affiliate Program is designed to help the Company increase brand visibility and sales, while rewarding affiliates for their marketing efforts.

As an affiliate, you are not an employee of the Company. You will promote the Company’s products in exchange for commissions on sales generated through your unique tracking links or codes. You may promote products through social media, blogs, websites, and other approved channels.

3. Program Enrollment

  • Eligibility: You must be at least 18 years old to join the Affiliate Program.

  • Joining Fee: To join, you are required to pay a £10 one-time non-refundable fee.

  • Benefits of Joining:

    • A 60% discount code for your first order.

    • A 10% affiliate discount code to share with your followers.

    • Access to the Affiliate portal, marketing resources, and training materials.

    • Access to the Affiliate WhatsApp support group for direct communication and tips.

4. Commission Structure

  • Commission Rates:

    • 3% on sales under £200 per month

    • 5% on sales between £200 - £599 per month

    • 10% on sales over £600 - £999 per month

    • 15% on sales over £1000 per month

  • Commission Calculation: Commissions will be calculated based on the final sale amount, excluding discounts, taxes, and shipping.

  • Payment: Commissions will be paid out on a monthly basis via [PayPal/bank transfer], once a minimum of £10has been accumulated. Any incomplete, fraudulent, or cancelled transactions will result in commission forfeiture.

5. Affiliate Responsibilities

By participating in the Affiliate Program, you agree to the following responsibilities:

  • Promotion of Products: The Affiliate agrees to promote only products from [Your Lash Brand Name] in a truthful and accurate manner.

  • Compliance with Advertising Laws: You agree to adhere to UK advertising standards and consumer protection regulations. This includes clearly disclosing your affiliate relationship in all promotions (e.g., using #ad or #affiliate as per the CAP Code).

  • Brand Representation: Affiliates are expected to represent the brand in a professional and positive manner. You may not mislead or misrepresent any information related to the Company or its products.

  • Prohibited Activities: The following activities are strictly prohibited:

    • Spamming: Unsolicited bulk emails, comments, or social media posts promoting products.

    • False Advertising: Making false claims or misleading statements about the Company’s products.

    • Trademark Bidding: Bidding on the Company’s brand name or keywords in paid advertisements without prior written consent.

    • Impersonation: Pretending to be the Company or any official representative.

    • Misleading Discount Claims: Promoting discount codes or offers that do not exist, or misrepresenting the value of a product.

    • Creating Fake Reviews: Any attempt to create false reviews, ratings, or testimonials for products.

  • Content Approval: The Company reserves the right to review and approve any content that uses its trademarks, logos, or promotional materials. Any content that does not meet the Company’s standards or violates these terms will need to be removed.

6. Promotion Examples

The Affiliate Program encourages affiliates to use a variety of methods to promote [Your Lash Brand Name] products. Here are some acceptable promotional methods:

  • Social Media Marketing: Share product reviews, tutorials, unboxing videos, and usage tips on platforms like Instagram, TikTok, and YouTube. Use affiliate links or codes in captions and stories, and clearly mark content as #ad or #affiliate.

  • Blogging & YouTube Reviews: Write blog posts or create YouTube videos about the products. These can include detailed reviews, comparisons, and makeup tutorials using the products.

  • Giveaways: Run a giveaway where followers can win products by following your account and using your affiliate code. Be sure to disclose your affiliate relationship with #ad or #affiliate.

  • Influencer Collaborations: Collaborate with other influencers or creators in the beauty community to cross-promote each other's content and products.

  • Email Marketing: If permitted, you may send emails to your subscribers about product launches or sales, provided you include the necessary disclosures and use affiliate links.

7. Legal Compliance

As an Affiliate, you must comply with the following UK Laws and Regulations:

  • UK Advertising Standards: Adhere to the CAP Code (UK Code of Non-broadcast Advertising and Direct & Promotional Marketing), which outlines rules for advertising in the UK. You must always disclose that the content is sponsored or that you have an affiliate relationship with the Company.

  • Consumer Protection from Unfair Trading Regulations 2008: Affiliates must avoid misleading or deceptive practices when advertising or promoting products. Always provide accurate information about the products.

  • Data Protection (UK GDPR): The Affiliate must ensure they handle all personal data (e.g., customer information from referrals) in compliance with the General Data Protection Regulation (GDPR). Affiliates are not permitted to share personal data without explicit consent.

  • E-commerce Regulations: If you sell the Company’s products through your website, you must comply with the E-Commerce Regulations 2002 and ensure clear terms of sale and returns policy are presented to customers.

8. Termination for Non-Performance

The Company reserves the right to terminate the Affiliate’s participation in the Affiliate Program under the following conditions:

  • Non-Performance: If the Affiliate does not meet the minimum sales target, or if the Affiliate has failed to generate  sales over a consecutive period of 3 months, the Company reserves the right to terminate the Affiliate’s participation in the Program.

  • Notice of Non-Performance: If the Affiliate’s performance falls below the required thresholds, the Company will issue a written notice to the Affiliate, providing a period of 60 days to improve performance. If the Affiliate fails to meet the required performance metrics during this period, the agreement may be terminated.

  • Termination without Cause: The Company may also terminate the Affiliate’s participation in the Program at any time, with or without cause, by providing 15 days written notice to the Affiliate.

  • Unpaid Commissions: Upon termination, the Affiliate is entitled to receive commissions on sales made up to the date of termination, provided those sales are not refunded or cancelled.

9. Content & Branding Guidelines

  • Use of Brand Assets: Affiliates are provided access to the Company’s branding materials, including logos and images, and must use them in accordance with the guidelines provided by the Company.

  • Approval of Content: The Company reserves the right to review and approve any content that uses its trademarks or branding. Content that violates the Company’s brand guidelines will need to be removed or revised.

  • Content Restrictions: You may not alter, distribute, or use any of the Company’s materials in any way that may harm its reputation.

10. Referral Tracking

  • Affiliate Links: Affiliates will be assigned unique referral links or discount codes for tracking sales and commissions.

  • Accuracy of Tracking: It is your responsibility to ensure that your links and codes are properly included in all promotions. The Company is not responsible for any errors in tracking or commission payment caused by improper use of links and codes.

11. Termination of Agreement

  • Termination by Affiliate: You may terminate your participation in the Affiliate Program at any time by notifying the Company in writing via email.

  • Termination by Company: The Company may terminate the Affiliate’s participation in the Program immediately if the Affiliate is found in violation of these Terms and Conditions or engaging in any fraudulent activity.

  • Unpaid Commissions: Upon termination, the Affiliate is entitled to receive commissions on sales made up to the date of termination, provided those sales are not refunded or cancelled.

12. Data Protection & Privacy

  • Personal Data: The Company will collect and store only the personal data necessary for administering the Affiliate Program, including your name, email address, and payment details.

  • GDPR Compliance: The Company will process personal data in compliance with the UK Data Protection Act 2018 and the General Data Protection Regulation (GDPR).

  • Data Sharing: Your personal data will not be shared with third parties, except when required by law.

13. Limitation of Liability

  • No Liability for Earnings: The Company makes no guarantees regarding the Affiliate’s earnings, as commissions depend on the Affiliate’s efforts and the sales generated.

  • Limitation of Responsibility: The Company shall not be liable for any indirect, special, or consequential damages arising out of or in connection with the Affiliate Program.

14. Governing Law

This agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes that arise under this agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

15. Miscellaneous Provisions

  • Amendments: The Company reserves the right to modify or update these Terms & Conditions at any time. Any changes will be communicated to the Affiliate in writing.

  • Entire Agreement: These Terms & Conditions represent the entire understanding between the parties concerning the Affiliate Program and supersede all prior agreements.

Acceptance of Terms

By joining the Affiliate Program and paying the joining fee, the Affiliate confirms they have read, understood, and agree to the Terms & Conditions outlined in this document. Participation in the program indicates acceptance of these terms.
